1. Introduction

These Terms and Conditions ("Terms") govern your use of the Needlework cross-stitch pattern generation platform ("the Service") operated by Indigo Labs Ltd ("we", "our", or "us"), a company registered in England and Wales.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

2. Description of Service

Needlework is a web-based application that allows users to create cross-stitch patterns from images, view and manage patterns, track stitching progress, and access related crafting features. The Service may include free and paid subscription tiers with varying features and limitations.

3. User Accounts

3.1 Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update this information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if you breach these Terms or engage in conduct that we deem harmful to the Service or other users.

4. User Content and Responsibilities

4.1 Your Content

"User Content" means any images, patterns, text, or other materials you upload, create, or submit through the Service. You retain ownership of your User Content.

4.2 Licence Grant

By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, display, and process your content solely for the purpose of providing and improving the Service. This licence terminates when you delete your content or account.

4.3 Content Responsibility

You are solely responsible for all User Content you upload or create using the Service. You represent and warrant that:

• You own or have obtained all necessary rights, licences, and permissions to use and upload the content
• Your content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party
• You have obtained all necessary consents from any individuals depicted in photographs or images you upload
• Your content does not violate any applicable laws or regulations

4.4 Copyright and Intellectual Property

You must not upload images or content that you do not have the legal right to use. This includes, but is not limited to:

• Copyrighted images without the copyright holder's permission
• Trademarked logos or brand materials
• Artwork created by others without authorisation
• Images from the internet unless you have verified you have rights to use them
• Screenshots from films, television, or video games

Indigo Labs Ltd is not responsible for any copyright infringement committed by users. If you upload content that infringes third-party rights, you may be personally liable for such infringement. We will cooperate with rights holders and law enforcement in cases of suspected infringement.

4.5 DMCA and Copyright Complaints

If you believe your copyright has been infringed by content on our Service, please contact us at legal@indigo-labs.co.uk with details of the alleged infringement. We will investigate and take appropriate action, which may include removing the infringing content and terminating the accounts of repeat infringers.

5. Prohibited Uses

You agree not to use the Service to:

• Upload content that infringes intellectual property rights of others
• Upload illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable content
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorised access to any part of the Service or other users' accounts
• Use automated means to access or scrape the Service without permission
• Circumvent any measures we use to restrict access to the Service or its features
• Use the Service for any commercial purpose without our prior written consent
• Resell, redistribute, or commercially exploit patterns generated using free tiers without appropriate subscription

6. Intellectual Property

6.1 Our Property

The Service, including its original content, features, functionality, design, and underlying technology, is owned by Indigo Labs Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written consent.

6.2 Third-Party Materials

The Service references DMC thread colours and codes for the purpose of creating cross-stitch patterns. DMC is a trademark of DMC S.A. The use of DMC thread information is for reference purposes only, and we are not affiliated with or endorsed by DMC.

7. Subscriptions and Payments

7.1 Free and Paid Tiers

The Service may offer free and paid subscription tiers. Features and limitations vary by tier and are described on our pricing page. We reserve the right to modify subscription offerings at any time.

7.2 Payment Processing

Payments are processed by Stripe. By subscribing to a paid tier, you agree to Stripe's Terms of Service. You authorise us to charge your payment method for all applicable fees.

7.3 Billing

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your plan). Your subscription will automatically renew unless you cancel before the renewal date.

7.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. No refunds are provided for partial billing periods.

7.5 Price Changes

We may change subscription prices with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new price.

8. Disclaimers

8.1 Service Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any aspect of the Service at any time.

8.2 Pattern Accuracy

While we strive to provide accurate pattern generation, we do not guarantee that patterns will perfectly replicate source images or that colour matching to physical threads will be exact. Cross-stitch results may vary based on fabric, thread, and individual stitching technique.

8.3 No Professional Advice

The Service does not provide professional design or crafting advice. Any information provided is for general guidance only.

9. Limitation of Liability

To the fullest extent permitted by law, Indigo Labs Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or goodwill
• Service interruption or system failure
• Errors or inaccuracies in content
• Unauthorised access to your account or data
• Any claims arising from User Content
• Any third-party claims related to your use of the Service

Our total liability for any claim arising from the Service shall not exceed the amount you have paid us in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Indigo Labs Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights

11. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will cease immediately
• We may delete your account and User Content
• Any provisions that should survive termination will remain in effect

You may terminate your account at any time by contacting us or using the account deletion feature if available.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Indigo Labs Ltd regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights to any affiliate or successor.
